1. Acceptance of Terms

By accessing and using the ChiChi Charlas website, booking platform, and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. ChiChi Charlas reserves the right to modify these terms at any time. Your continued use of the services constitutes your acceptance of the updated terms.

2. Service Description

ChiChi Charlas provides the following services:

• Event Hosting: Live event facilitation, MC services, and audience engagement
• Interviewing: One-on-one or panel interviews for media, podcasts, and live events
• Social Media Curation: Content creation, community management, and digital strategy
• Community Advocacy: Speaking engagements, workshops, and community-centered programming

Service scope, timeline, and deliverables will be specified in individual booking agreements or contracts.

3. Booking & Inquiries

• 3.1 Submission: All booking inquiries are submitted through our booking form and are subject to review and approval.
• 3.2 Availability: ChiChi Charlas reserves the right to decline any booking request for any reason.
• 3.3 Confirmation: A booking is only confirmed once a written contract is signed and any required deposit is received.
• 3.4 Communication: You agree to provide accurate contact information and respond promptly to communication from ChiChi Charlas.

4. Cancellation & Refund Policy

• 4.1 Client Cancellation: Cancellations made 60+ days before the event date may be eligible for a 50% refund. Cancellations within 60 days are non-refundable.
• 4.2 ChiChi Charlas Cancellation: In the event ChiChi Charlas must cancel, a full refund will be provided or an alternative date offered.
• 4.3 Changes: Requests to reschedule or modify booking details must be made in writing and are subject to availability and approval.

5. Payment Terms

• 5.1 Fees: All fees are as quoted in the booking agreement and are non-refundable unless otherwise stated.
• 5.2 Payment Schedule: A deposit is required to confirm booking. Final payment is due prior to the event date unless otherwise agreed.
• 5.3 Late Payment: Failure to pay on time may result in cancellation of services.
• 5.4 Payment Methods: Accepted payment methods will be specified at the time of booking.

6. Intellectual Property

• 6.1 Content Ownership: All original content, materials, and intellectual property created by or for ChiChi Charlas remain the property of ChiChi Charlas unless otherwise agreed in a separate written agreement.
• 6.2 Client Content: Clients may only use content featuring ChiChi Charlas with explicit written permission.
• 6.3 Attribution: ChiChi Charlas retains the right to promote services and events in marketing and promotional materials.

7. Conduct & Expectations

• 7.1 Professional Conduct: Clients agree to maintain a professional and respectful environment during all interactions and services.
• 7.2 No Discrimination: ChiChi Charlas values all identities, orientations, and expressions. Any discriminatory behavior will result in immediate termination of services without refund.
• 7.3 Harassment: Harassment, threats, or abusive behavior toward ChiChi Charlas or event participants will not be tolerated.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

• 8.1 No Liability for Indirect Damages: ChiChi Charlas will not be liable for indirect, incidental, consequential, special, or punitive damages arising from your use of services.
• 8.2 Service Interruption: ChiChi Charlas is not responsible for service interruptions, technical failures, or delays beyond its reasonable control.
• 8.3 Third-Party Services: ChiChi Charlas is not responsible for third-party platforms, vendors, or services used in connection with events.

9. Confidentiality

Both parties agree to maintain confidentiality of sensitive information shared during booking and service delivery, unless disclosure is required by law or expressly permitted in writing. ChiChi Charlas may reference past events and clients in portfolio or promotional materials unless otherwise agreed.

10. Governing Law & Dispute Resolution

• 10.1 Jurisdiction: These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflicts of law.
• 10.2 Dispute Resolution: Any disputes arising from these Terms will first be addressed through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration or mediation.
• 10.3 Attorney's Fees: The prevailing party in any dispute may recover reasonable attorney's fees and costs.

11. Privacy

Your use of ChiChi Charlas services is also governed by our Privacy Policy. Please review our privacy practices to understand how we collect, use, and protect your information.

12. Termination

ChiChi Charlas reserves the right to terminate services at any time for violations of these Terms or other reasonable causes. In such cases, appropriate refunds (if applicable) will be handled in accordance with the Cancellation & Refund Policy.

13. Modifications to Terms

ChiChi Charlas may update these Terms of Service at any time. Continued use of the services after updates constitutes acceptance of the new terms. For significant changes, we will provide notice via email or website notification.
